The World’s Biggest Olive Oil Cookbook Contest

Official Rules


1. Eligibility: The World’s Biggest Olive Oil Cookbook Contest (the “Contest”) is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia, who are at least eighteen (18) years old (or 19 for residents of AL and NE) at the time of entry. Employees of Food From Spain, Brandmovers, Inc., and their respective parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employees are not eligible to participate. The Contest is subject to all applicable federal, state, and local laws and regulations. Void in HI, AK and where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Sponsor: Food From Spain, 405 Lexington Avenue, 44th Flr. NY, NY 10174 (SPONSOR). Administrator: Brandmovers Inc., 1575 Northside Drive, Bldg. 200, Suite 200, Atlanta, GA 30318.

3. Promotional Period: The Contest begins on December 17, 2012 at 12:00:01 p.m. Eastern Time ("ET"), and ends on February 18, 2013 at 11:59:59 a.m. ET (the "Promotion Period”). Promotion Period consists of a Submission Period and Voting Period as described below.

Submission Period: Entries may be submitted in the Contest beginning on December 18, 2012 at 12:00:00 p.m. ET, and ends on January 17, 2013 at 11:59:59 a.m. ET (the “Submission Period”). All entries must be received by January 17, 2013 at 11:59:59 a.m. ET.

Voting Period: Voting begins on January 17, 2013 at 12:00:00 p.m. ET, and ends February 18, 2013 at 11:59:59 a.m. ET (the “Voting Period”). All votes must be received by February 18, 2013 at 11:59:59 a.m. ET.

Judging Period: Sponsor judging will begin on or about February 19, 2013. A total of one (1) winner (a “Grand Prize Winner”) will be selected by the panel of qualified judges on or about March 1, 2013.

Sponsor’s computer is the official time-keeping device for the Contest.

4. How to Enter: To enter the Contest, entrant (“Entrant”) must visit (“Website”) at any time during the Submission Period and follow the on-screen instructions to enter by completing all required fields on the Website. To enter, entrant must submit and complete the following, which shall be defined collectively as a “Submission”: (a) an official entry form, with all required information which will includes your full name, email address, telephone number, city/state, and birth date; (b) electronically agree to the Official Rules, and; (c) submit your original recipe, including the following (please see subsection 4.A. below for required recipe contents): 1) recipe title; 2) brief description of recipe; and 3) recipe ingredients;. Limit: You may enter into the Contest only one (1) time throughout the Promotion Period. Multiple Submissions by the same Entrant are not permitted. Multiple Entrants for on a single Submission are not permitted. Any attempt by any Entrant to enter more than the stated number of Submissions by using multiple/different email addresses, identities, registrations, or any other methods will void that Entrant's Submissions and that Entrant may be disqualified at Sponsor’s sole discretion.

Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents will void all entries made by, or associated with, the applicable Entrant. In the event of a dispute over who submitted a Submission, the authorized subscriber of the e-mail account provided in connection with the Submission, as of the actual time of entry will be deemed to be the Entrant. The “authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Recipe Content Requirements, Terms and Restrictions:

A. Recipe Requirements:

i. Recipe must: (a) be an original recipe,, (b) not be a copy or imitation of an existing recipe; (c) not have previously won awards or been used to enter into any other contest; (d) have never been published, and (v) not violate the rights of any other person or entity..

ii. Recipe must use Olive Oil From Spain olive oil in the recipe. If no Olive Oil From Spain olive oil is available in your area, you may use another brand of olive oil for the recipe.

iii. Recipe must include a list of all required ingredients in specific, common U.S. household measurement units, step-by-step preparation instructions, and cooking temperatures and times.

B. Submission Terms: i. Entrants agree to and understand that Submissions will be made available to the public, including without limitation, posting on the Internet. Whether or not Submissions are published on the Internet, Sponsor does not covenant or guarantee any confidentiality with respect to any Submissions.

ii. Each Submission must be an original creation of the submitting Entrant which is under no restriction, contractual or otherwise, that will prevent Sponsor’s use of the Submission and each Submission must be free of any and all liens, encumbrances and claims of third parties. Entrant acknowledges, agrees and warrants that, nothing in the Submission infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than the Entrant absent a suitable license, clearance or permission agreement (proof of which is required upon submission), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured. Entrant agrees to indemnify and hold harmless each of Sponsor and Administrator, and each of their owners, officers, directors, employees, franchisees and affiliated organizations, and their respective officers, directors and employees, from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by Entrant of these Official Rules or the warranties and representations made by Entrant in this paragraph. Modifying, enhancing or altering a third party’s preexisting work does not qualify as Entrant’s original creation.

iii. By uploading the Submission, the Entrant agrees, for zero compensation, to grant to Sponsor all intellectual property rights in the Entry and each of its constituent parts, which rights include, without limitation, the Sponsor’s right to publish, make available to the public and/or reproduce the Submission through any media available at any time during, or after, the Promotion Period on any medium, in any promotional materials, whether related or un-related to the Contest, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate and necessary for the operation and promotion of this Contest. In addition, Entrant warrants that any so called “moral rights” in the Entry have been waived and Entrant acknowledges and agrees that Sponsor may use any ideas from any Entry or other submitted materials, whether or not Entrant has been awarded a prize in connection with any such Entry or other materials. Entrant agrees to release, defend, indemnify and hold harmless each of Sponsor and Administrator, and each of their owners, employees, directors, officers, agents, franchisees, subcontractors, and licensees from all claims, demands, and causes of action of any nature whatsoever which Entrant or Entrant’s heirs, representatives, executors, administrators, or any other persons acting on Participant’s behalf or on behalf of Participant’s estate, have or may have by reason of: (i) Sponsor’s exercise of any rights granted by Entrant in this paragraph; (ii) claims based on violation of any right of publicity or rights of personality, infringement of copyright or trademark, libel, slander, defamation, invasion of privacy, loss of earnings or potential earnings in connection with Sponsor’s use of the Entry and any portion thereof, or the likeness of any natural person therein.

C. Submission Content Restrictions: Submissions must not contain material that:

iv. References tobacco, smoking or smoking products or alcoholic beverages, or otherwise contains or depicts someone smoking or intoxicated;

v. Violates or infringes another’s rights, including without limitation, privacy, publicity or intellectual property rights, or that constitutes copyright infringement;

vi. Contains material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

vii. Contains or displays any commercial/corporate advertising other than that of Sponsor (including but not limited to corporate logos, brand names, trademarks, slogans, political, personal and religious statements);

viii. Contains indecent, violent, or unsafe behavior or situations, profanities or obscenities, including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent, profane, obscene, hateful, tortuous, slanderous or libelous;

ix. References persons or organizations without their written permission;

x. Disparages any persons or organizations;

xi. Includes threats to any person, place, business, or group;

xii. Is unlawful, in violation of or contrary to all applicable federal, state, or local laws and regulations.

Failure of any Submission to comply with the above “Submission Requirements” and “Submission Content Restrictions,” as determined by Sponsor, in its sole discretion, may result in disqualification of Entrant. Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Entry that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Contest or any other person or entity, does not comply with these Official Rules or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein. All Entries shall become the exclusive property of Sponsor and will not be acknowledged or returned. Entries must be suitable for presentation in a public forum, in sole determination of Sponsor.

5. Grand Prize Winner Selection and Prizes:

A. Public Voting: All qualifying Submission will be posted on the Website during the Voting Period. Individuals from the general public will be able to vote once per day for their favorite Submission during the Voting Period (please see section 2. above for Voting Period details). Voters can vote by visiting the Website and registering or logging into the Contest and following the links to the voting page. Limit: one (1) vote per user, per valid email address, per day. The top five (5) Submissions with the most votes during the Voting Period will be deemed Finalists and will be voted on using the Judging Criteria set forth in Section 5B below. In the event of a tie, the tying Submissions will be judged using the Judging Criteria set forth in Section 5B below to determine who the Finalist will be from among all tying Submissions.

B. Judging Criteria: During the Judging Period (please see section 2. Above for Judging Period details), a panel of qualified judges, to be selected by Sponsor, will select the Grand Prize winner from among the top five (5) Finalist Submissions using the following judging criteria (“Judging Criteria”):

The Finalist Submission with the highest score using the Judging Criteria set forth above will be deemed the Grand Prize Winner. In the event of a tie, the Finalist Submission with the highest score in the Expected Taste criteria will be deemed the Grand Prize Winner.

C. One (1) Grand Prize: The Grand Prize is trip for two (2) to Seville, Spain, consisting of:

Winner will be solely responsible for all, as applicable: sales tax and all other federal, state, local or other tax liabilities; additional equipment; insurance; maintenance; and all other fees and expenses associated with receipt and use of any prize. The actual retail value of the prize may vary, depending upon point of departure and seasonal fluctuations and hotel and airfare rates. Any difference between the stated ARV and actual ARV will not be awarded. All expenses not specifically mentioned herein are not included and are solely the winner’s responsibility, including but not limited to: round trip transportation between the winner’s residence and any airport, beverages, food not listed above, gratuities and tips, tax not listed, insurance, laundry service, room service, service charges, souvenirs and telephone calls. Winner and his/her guest must each be 18 years of age or older (except residents of AL and NE who must be 19) ; must complete, sign and return all affidavits, releases and other documents required by Sponsor prior to ticketing of prize; must travel on the same itinerary; must travel between the following months: March – June 2013 (EXCEPT trip may NOT be taken April 15 – 22, 2013) and September – November 2013, blackout dates apply; must comply with all airport and venue security requirements or prize will be forfeited in its entirety and may be awarded to an alternate winner, provided sufficient time remains to verify alternate winner and ticket prize, otherwise prize will not be awarded. Sponsor reserves the right in its sole discretion to suspend or cancel the participation of any winner or guest due to noncompliance with any security procedure or inappropriate behavior or misconduct at Sponsor’s sole discretion. Airline carrier and hotel regulations and conditions may apply. Each winner and his/her guest are solely responsible for obtaining any and all necessary travel documents (valid passport, visa, etc.) before departure. Travel and lodging are subject to change due to availability, certain restrictions and Sponsor’s approval. No responsibility is assumed for any cancellation or rescheduling of an event in whole or in part. If any of the foregoing prize details are delayed, postponed or cancelled for any reason, those portions of the prize will not be awarded and the remainder of the prize elements shall constitute full satisfaction of Sponsor’s prize obligation to winner and no substitute or additional compensation will be awarded. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. No substitute or additional compensation will be awarded. Prize is not redeemable for cash or transferable unless otherwise agreed to be Sponsor in its sole discretion. No substitution allowed except at Sponsor’s sole discretion, and in that event for a prize of equal or greater value may be substituted for any reason. The prize cannot be used in conjunction with any other promotion or offer. All taxes are solely the responsibility of the Grand Prize winner, who will receive an IRS Form 1099 reflecting the value of the prize.

The Total approximate retail value (“ARV”) of Grand Prize is $9,500 USD.

Entry Awards: The first four hundred (400) participants to enter the promotion will receive a Food From Spain shopping bag and an apron, free of charge, while supplies last.

Total approximate retail value (“ARV”) of Entry Awards: $0.00 USD.

Total ARV of all Promotion Prizes: $9,500 USD.

Sponsor is an independent judging organization whose decisions as to the administration and operation of the Contest and the selection of the potential winner is final and binding in all matters related to the Contest. Potential winner will be notified by telephone or email on or about March 1, 2013, or as soon thereafter as reasonably practicable. Except where prohibited, the potential winner will be required to sign and return an Affidavit of Eligibility and a Liability and Publicity Release (where legal) (collectively the “Affidavit and Release”) which must be received by Sponsor, within five (5) days of the date notice or attempted notice is sent, in order to claim the prize. If potential winner cannot be contacted, or fails to sign and return the Affidavit and Release within the required time period, the potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that the potential winner is disqualified for any reason, the forfeited prize will remain unawarded.

Prize is delivered “as is” and Sponsor makes no additional warranties or guarantees as to the products. Released Parties are not responsible if the Grand Prize, or any part thereof, cannot be awarded due to travel cancellations, delays or interruptions due to any acts of God, action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control, and shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same.

7. Release: By receipt of any prize, winners agree to release and hold harmless Sponsor, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize or participation in any Contest-related activity (including travel) and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery.

8. Publicity: Except where prohibited, participation in the Contest constitutes each winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Contest, if it is possible. If the Contest, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to judge all qualifying Submissions received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

12. Entrant's Personal Information: Entry in the Contest constitutes consent of Entrant to use personal information collected from the Entrant for purposes of administering the Contest and for such other purposes to which Entrant may consent as outlined herein or on Sponsor’s website. 13. Request for Winner List and Official Rules: For the name of the winner and/or Official Rules, send a hand-printed, self-addressed, return postage stamped envelope to: Winners List/Official Rules (specify which) – The World’s Biggest Cookbook Contest, 1575 Northside Drive, Bldg. 200, Suite 200, Atlanta, GA 30318. The winner list will be available after winner confirmation is complete, on or about March 1, 2013.
